CONSTITUTION OF THE PROFESSIONAL SURVEYORS ASSOCIATION OF NEBRASKA

ARTICLE I
Name and Object

SECTION 1. The name of this Association shall be Professional Surveyors Association of Nebraska.

SECTION 2. The object of the Association shall be:

a. Advance the science and art of the Surveying Profession.

b. Foster and maintain a high standard of Ethics.

c. Uphold the Nebraska Registered Land Surveyors Act.

d. Act directly and indirectly in the interest of Public Welfare and impress upon the public the importance of accurate Land Surveying.

e. Protect and improve the professional and economic stature of the Professional Surveyor.

ARTICLE II
Organization

This organization, in its activities and in its membership shall be nonpolitical, nonsectarian, and state wide in its scope, except as local subordinate chapters may come into being and shall be incorporated as a nonprofit organization.

ARTICLE III
Members

SECTION 1. The members of this Association shall consist of six classes, namely:

a. Active Member. Any person who is an active or inactive Nebraska Registered Land Surveyor and whose registration has not lapsed or been revoked, shall be eligible for membership as an active member. An active member shall have full membership rights and privileges, including but not limited to membership voting rights.

b. Honorary Life Member. A person of acknowledge eminence in surveying, who has rendered outstanding service to the Land Surveying or Engineering Profession and who has been an Active Member of the Professional Association of Nebraska, may be elected as a Life Member of the Association by two-thirds vote of the Official Board. Honorary Life Membership does include full membership voting rights.

c. Retired Active Members. Any person who is a Nebraska Registered Land Surveyor, who is retired professionally from land surveying or a business engaged in land surveying, whose active membership in Professional Surveyors Association of Nebraska has been continuous for the required number of eligible years, upon notification and approval of the executive board shall be eligible for membership as a Retired Active Member and shall retain all the privileges of an Active Member, including all membership voting rights. The required number of eligible years shall mean continuous membership as an active member in Professional Surveyors Association of Nebraska for a period of five years before the year 1980 including the year 1980. The number of eligible years shall be increased by one year for each year after 1980 until a maximum of 15 years of continuous membership as an Active Member has been reached and then shall mean 15 years of continuous membership as an Active Member after the year 1990.

d. Affiliate Member. Any person registered as a Land Surveyor in any state other than Nebraska and a registered Professional Engineer, Realtor, Abstractor, Attorney, or any person engaged in a business or profession related to land surveying and interested in the advancement of the surveying profession shall, upon the recommendation of an Active Member, be eligible to apply for membership as an Affiliate Member. Affiliate membership does not include membership voting rights.

e. Associate Member. Any person engaged in surveying and interested in becoming a Nebraska Registered Land Surveyor or any student with a sincere interest in surveying shall, upon the recommendation of an Active Member, be eligible to apply for membership as an Associate Member. Associate Membership does not include voting rights.

f. Sustaining Members. Any individual, group or firm engaged in providing equipment or service to the surveying and engineering profession. Sustaining Members shall mean and include:

a. Membership to Professional Surveyors Association of Nebraska equivalent to an Affiliate Member for an individual groups or firm.

b. A one-quarter page advertisement published in each of The Nebraska Surveyor newsletter. Special recognition shall be given to the Sustaining Members for supporting Professional Surveyors Association of Nebraska within the cover page of the newsletter.

c. Exhibitors entrance fees to the annual meeting.

d. Sustaining Membership does not include membership-voting rights.

g. Professional Affiliate. Any individual group, firm, partnership or corporation engaged in surveying and who is a registered land surveyor or has one or more Nebraska Registered Land Surveyors in their group, firm, partnership or corporation, upon the recommendation of an Active Member, shall be eligible to apply for membership as a Professional Affiliate Member. Professional Affiliate Membership does not include membership-voting rights. Special recognition shall be given to the Professional Affiliate Membership for supporting the Professional Surveyors Association of Nebraska within the newsletter.

ARTICLE IV
Officers

SECTION 1. The officers of the Association shall be President, Vice President or President Elect (whom shall act as Vice President), Treasurer, Secretary, and six (6) Directors and one (1) ex-officio director. The one (1) ex-officio director shall be the Nebraska State Surveyor. These individuals shall constitute the Official Board of this Association. The President and Secretary shall be Chairman and Secretary, respectively. One Affiliate Director is eligible to be a member of the Official Board pursuant to Constitutional Article VII and shall have full director voting rights. The Official Board shall have vested in them the Government of the Association and the control of its property.

SECTION 2. The President Elect or Vice President, Secretary or Treasurer, Three(3) of the six (6) Directors, shall be elected by letter ballot prior to the Annual Meeting of the Association and shall hold office until their successors are elected and qualified at the next Annual Meeting.

The President Elect for the current year shall become President for the ensuing two years. The President shall not be eligible for any office for two (2) years after the completion of the President’s term either by election or appointment.

SECTION 3. Only Honorary Life Members, Retired Members, and Active Members shall have the privilege of voting for and holding the office of President, President Elect, Vice President, Secretary, Treasurer, and Six (6) Directors in the Association.

SECTION 4. At the expiration of the term of any elected Director (except the State Surveyor, President Elect and Vice President), their successor shall be elected for a term of two (2) years.

The President shall serve a term of office of two (2) years.

The Vice President shall serve a one (1) year term at the same time as the Presidents 1st year.

The President Elect shall serve a one (1) year term at the same time as the Presidents 2nd year.

The Secretary and Treasurer shall serve a term of office of two (2) years.

These officers shall begin their two (2) year terms in alternating years.

To be eligible for the office of President Elect, a candidate shall have served on the Official Board of the Professional Surveyors Association of Nebraska within the last seven years.

SECTION 5. The President shall preside at all meetings of the membership or of the Official Board except that he may appoint a temporary Chairman at any such meeting or part of such meeting. He shall be the principal officer of the Association and with the Official Board, shall guide its functions. He shall provide the Secretary and Administrative Secretary with a copy of all official correspondence which he may conduct for the permanent records of the Association.

SECTION 6. The Vice President or President Elect shall assist the President and act for him in his absence or by his direction.

SECTION 7. The Secretary shall be the custodian of the records and books of the Association except the accounts of the Treasurer. He shall conduct the official correspondence of the Association under the direction of the Official Board and maintain a file of all such correspondence. He shall prepare reports of all meetings of the Association or its Directors and perform such other duties as the Official Board may direct.

SECTION 8. The Treasurer shall be custodian of all funds and act without bond. He shall keep books and accounts of the receipts and expenditures of the funds and render a financial statement at the annual meeting, and as directed by the Official Board.

SECTION 9. All Association funds shall be deposited in the name of the Association in a bank or banks approved by the Official Board, and the withdrawal of any such funds shall only be made as follows: The Administrative Secretary shall be on the account to have access to the bank statements and only the Treasurer shall have vested authority to singularly draw and sign orders (checks) in the name of the Association. The State Surveyor shall be on the account and in the absence of the Treasurer, shall draw his orders (checks) and have it cosigned by an approved Officer of the Association, limited to the Vice President, President Elect, or Secretary.

SECTION 10. First Amendment approved by PSAN Members on February 13, 2014: In the event any member of the Official Board of Professional Surveyors Association of Nebraska misses (3) consecutive meetings without just cause, the Official Board may declare the office vacant and provided further the Board shall appoint a qualified member to fill remaining term of said position except the office of Vice President, President Elect or President.

At the first meeting of the calendar year, the official board shall elect a Chairman of the Board whose responsibilities shall be to act as Acting President in the absence of the President, President Elect and/or Vice President.

In the event that the office of President and President Elect are vacant at the same time, there shall be an emergency election by the general membership within 90 days of the notification to the Official Board of said vacation, to elect said offices.

ARTICLE V
Annual Meetings

SECTION 1. Annual meetings of this Association shall be held during the first quarter of the calendar year, at which time the installation of officers for the coming year will be held, the annual report of the Association will be received, and other business will be conducted.

SECTION 2. Not less than ten (10) days prior to the date of a meeting, the Administrative Secretary shall mail to each member a notice that shall state the time, place, and the purpose of the meeting. Fifteen (15) voting members shall constitute a quorum.

SECTION 3. In all questions involving parliamentary rules not covered in the Constitution and Bylaws, Robert’s Rules of Order shall govern.

ARTICLE VI
Amendments

This Constitution may be amended from time to time. Any proposed Amendment shall be submitted in writing to the Official Board and if they shall approve such Amendment, they shall instruct the Administrative Secretary to prepare and mail a copy of such to each member and instruct him to indicate his rejection or approval of such Amendment and return same to the Administrative Secretary within thirty (30) days of the date of mailing. The adoption of said Amendment shall require an affirmative vote of two-thirds of such votes cast. The Administrative Secretary shall notify each member accordingly. In the absence of the Administrative Secretary, all duties of the Administrative Secretary shall be the responsibility of the Secretary of the Association.

ARTICLE VII
Affiliate Associations

SECTION 1. Eligibility Requirements

a. Goals: The Constitution and By-laws, functions, aims, and purposes of the Affiliate Association(s) will be consistent with and not contrary to the functions, aims, and purposes of the Professional Surveyors Association of Nebraska.

b. Location: The Affiliate Association(s) must be based in the State of Nebraska.

c. Size: 25% of the membership of the affiliate organization must be a member of the Professional Surveyors Association of Nebraska.

d. Responsibility: Each Affiliate Association(s) shall encourage membership in the Professional Surveyors Association of Nebraska and the National Society of Professional Surveyors.

SECTION 2. Application for Affiliation
The Affiliate Association(s) must submit to the Official Board of the Professional Surveyors Association of Nebraska a copy of their By-laws, a membership roster and dues schedule, along with their written request for affiliation.

SECTION 3. Approval for Affiliation
Approval of Affiliation shall conform to the procedure set forth in the By-laws of the Professional Surveyors Association of Nebraska, ARTICLE V, Section 1.

SECTION 4. Dues
Affiliate associations shall not pay dues to the Professional Surveyors Association of Nebraska for the affiliate association to be a member of the Professional Surveyors Association of Nebraska.

SECTION 5.

a. The secretary of Affiliate Association or the chairman of the combined committee shall inform the Administrative Secretary of the Professional Surveyors Association of Nebraska whom the Director shall be.

b. The Director representing the Affiliate Association(s) shall have the rights and privileges as the other members of the Official Board of Professional Surveyors Association of Nebraska.

c. An individual, while holding the office of Affiliate director, shall not be an elected officer of the Professional Surveyors Association of Nebraska.

d. The Affiliate Director shall report the activities of the Affiliate Association(s) (meetings, seminars, workshops, public relation promotions, and changes in membership and By-laws, etc.) to the Official Board.

SECTION 6. “The Newsletter”

a. The Affiliate Association(s) shall receive a copy of “The Nebraska Surveyor.”

b. The Affiliate Association(s) shall be entitled to adequate space in “The Nebraska Surveyor” for a Membership Application Form, articles of interest to surveyors, announcements of seminars and workshops, as approved by the Editor.

SECTION 7. Termination of Affiliation

a. The Official Board of the Professional Surveyors Association of Nebraska may cause the Affiliation to be cancelled upon written notification to the Affiliate Association.

b. The Affiliate Association may sever an approved affiliation upon written notification to the Official Board of the Professional Surveyors Association of Nebraska. Any Association so doing will not be eligible for reaffiliation for a period of not less than two years.
